End user licence agreement (EULA)

This EULA relates to the use of the XCalData Mobile App as available for download from the Google Play Store (Android) and Apple App Store (iOS).

For specific information regarding Privacy and Data Protection as a user of the XCalData Mobile App, please refer to the Privacy Policy.

You and M/s GoldenNest technologies Pvt Ltd will be referred hereinafter to as “Parties” collectively

1. Introduction

1.1 The XCalData Mobile App (the “App”) primarily AI based multi model data forecaster helps in knowing the movement of Stocks over the next few weeks (the functionalities provided by the App are referred to as the “Service”).

1.2 This end user license agreement (the “EULA”) governs your use of the App, including any modifications or updates to it, and the way we process information through the App. By downloading, installing, or using the App, or in any manner indicating your agreement to these terms, you become bound by the terms of this EULA, which is entered into between you (the user of the App) and us, M/s. Goldennest Technologies Pvt Ltd, a private company incorporated under the provisions of The companies Act of 2013, having its office at NO.131A, AMMAMANDAPAM ROAD, SRIRANGAM, Tiruchirappalli, Tamil Nadu, 620006.

1.3 You will probably download this App to your mobile device (“Device”) from a third-party mobile app store (the “Store”). This EULA and your use of the App are both subject to any conditions imposed on you from time to time by the Store in accessing and downloading the App.

1.4 We may release new versions of the App from time to time. You should download the new version in order to continue to make use of the Service; the Service may not be provided as intended should you not be using the latest version.We may add, remove or change existing features in the software without prior notice.

1.5 We take data privacy seriously and are committed to data protection in accordance with all relevant laws which, for purposes of this EULA, include data protection and privacy Information Technology Act, 2000 (the IT Act) and its corresponding Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011 (the IT Rules).

1.6 THIS AGREEMENT REQUIRES THE USE OF ARBITRATION ON AN INDIVIDUAL BASIS TO RESOLVE DISPUTES, RATHER THAN JURY TRIALS OR CLASS ACTIONS, AND ALSO LIMITS THE REMEDIES AVAILABLE TO YOU IN THE EVENT OF A DISPUTE.

1.8 We do NOT provide or promote in any way AUTO TRADING (automatic order placement) for any securities, derivatives(futures/options), or in any markets. We only provide notifications/alerts based on your requirements and the orders need to be placed manually by the user. “Scans”, “Strategies” on the xCalData App, its sub-domains, and/or any platform being managed by Us does NOT mean, imply or refer to auto/algo trading. Strategic/Systematic trading ONLY refers to deriving the trade signal based on a strategy/set of rules/steps and/or strategy, but the order placement post identification of a trade signal needs to be done manually by You.

The Services are not investment advice and any observations concerning any security, scan, strategy provided in the Services is not a recommendation to buy, sell or hold such investment or security or to make any other investment decisions. We offer no advice regarding the nature, potential value, risk, or suitability of any particular scan, strategy, transaction, security, or investment. You acknowledge and agree that any use of the Services, and any decisions made in reliance on the Services, including any trading or investment decisions or strategies, are made at your own risk. If investment, trading, or other professional advice is required, the services of a competent, licensed professional should be sought. No employee, agent, or representative of GoldenNest Technologies Pvt. Ltd. is authorized to provide any such advice pursuant to this Agreement, and any such advice, if given, is in violation of GoldenNest Technologies Pvt. Ltd.'s policies, and unauthorized and hence should not be relied upon.

1.10 You are Solely Responsible for Input, Correctness, and Accuracy. The quality of the product's analysis and optimization depends on the user's inputs. After deployment, alerts have been made available in the product to ease and expedite your analysis, and you, as a user of the system, are solely responsible for ensuring the quality of all its inputs. As such, you must carefully review all input parameters in all ways necessary to ensure their accuracy and fidelity. While there are other factors governing analysis and optimization accuracy, the quality of the product outputs depends on the accuracy of your inputs. The trades generated by the Service may increase beyond what is practical to execute, due to broker execution limits and the difficulties in executing a complex trade in an all-or-none fashion. Moreover, once the trade is executed, the management of a complex trade becomes more difficult than is normally the case. Another factor is that you may not be authorized to execute all contract types found in the solutions generated. GoldenNest Technologies Pvt. Ltd. makes no representation that a solution generated by the Service can be executed and effectively monitored and managed in practice. It is entirely your responsibility to assess the appropriateness, suitability, and practicality of the solutions generated by the scan and strategy. It is your responsibility to ensure the trade is executable and manageable and appropriate for your needs.

2. License

2.1 The Company grants You a revocable, non-exclusive, non-transferable, limited license to download, install and use the Application strictly in accordance with the terms of this Agreement. You may only use the Application on one single Device that You own or control and as permitted by the Application Store’s terms and conditions. The license that is granted to You by the Company is solely for your personal, single usage, non-commercial purposes strictly in accordance with the terms of this Agreement

2.2 This license does not allow you to use the App on any Device that you do not own or control, and you may not distribute or make the App available over a network where it could be used by multiple devices at the same time. You may not rent, lease, lend, sell, redistribute or sublicense the application itself or the content provided by the Application. You may not copy (except as expressly permitted by this license), decompile, reverse engineer, disassemble, attempt to derive the source code of, modify, or create derivative works of the App, any updates, or any part thereof (except as and only to the extent any foregoing restriction is prohibited by applicable law or to the extent as may be permitted by the licensing terms governing use of any open-sourced components included with the App). Any attempt to do so is a violation of our rights and the rights of our licensors.

2.3 We may change the terms of this EULA at any time, and will display the new EULA for acceptance the next time you access the App. If you do not accept the amended EULA, this this EULA will automatically

3. Term & Termination

3.1 Your rights under this EULA will terminate automatically without notice from us if you fail to comply with any term(s) of this EULA. Upon termination of the EULA, you must cease all use of the App, and destroy all copies, full or partial, of the App.

4. Registration and Creation of Account

4.1 After accepting this EULA, you will still need to register with us before you can use the Service. You will register using the App itself, and you undertake to provide us with accurate information, and to keep this information updated and accurate at all times.

4.2 You warrant that you are a qualified to enter into a contract as such according to applicable law in India, failing which you must immediately cease to use the App.

4.3 We will use your personal information only for providing the Service to you via the App, in accordance with this EULA, and will retain information in accordance with the retention periods prescribed by law.

4.4 You must keep usernames and passwords safe to ensure that only you can use the App. You agree that usernames and passwords are issued for individual users only and that you must not share this information with anyone else.

4.5 FURTHERMORE, YOU ARE ENTIRELY RESPONSIBLE FOR ANY AND ALL ACTIVITIES AND CONDUCT, WHETHER BY YOU OR ANYONE ELSE, THAT ARE CONDUCTED THROUGH YOUR ACCOUNT. We may hold you liable for any losses incurred by GoldenNest Technologies Pvt. Ltd. or any other party due to someone else’s use of your account or password. You agree to notify GoldenNest Technologies Pvt. Ltd. by writing to reachus@goldennest.ai immediately upon your becoming aware of any unauthorized use of your account or any other breach of security involving your account. GoldenNest Technologies Pvt. Ltd. will not be liable for any loss that you or any other party may incur as a result of someone else’s use of your password or account, either with or without your knowledge.

5. Content Restriction

You agree to use the Application at your own risk. You understand that by using the Application You may come across the financial speculative report based on Algorithm, wherein The Company is neither responsible for the decision taken by the users under such circumstances and nor any losses which arise due to use of the App.

6. Security

We are committed to implementing appropriate structural, technical and other security measures to protect the integrity and confidentiality of Data. We protect and manage Data by using electronic and computer safeguards such as firewalls and data encryption. We may authorise access to Data to our employees, affiliates and/or our consultants, but only where they require it to fulfil their designated responsibilities and only where they have been appropriately informed regarding the confidentiality of such Data.

7. Intellectual Property

The Application, including without limitation all copyrights, patents, trademarks, trade secrets and other intellectual property rights are, and shall remain, the sole and exclusive property of the Company. The Company shall not be obligated to indemnify or defend You with respect to any third-party claim arising out of or relating to the Application. To the extend the Company is required to provide indemnification by applicable law, the Company, not the Application Store, shall be solely responsible for the investigation, defense, settlement and discharge of any claim that the Application or your use of it infringes any third-party intellectual property rights.

The Website www.xcaldata.com , the Mobile App xCalData, its general structure, scans, strategies, as well as text, animated or non-animated images, know-how, drawings, graphics, as well as the look and feel of the website, App and the features of zero coding, scan creation without coding are and shall remain the exclusive property of GoldenNest Technologies Pvt Ltd. You are only entitled to view information for your private use only. You may not reproduce, by any means, or process, in whole or in part, distribute, publish, transmit, create derivative works based on, modify, or sell any such materials contained on the site. Any total or partial representation of this site by any process without the express authorization of the operator of the Website is prohibited and legal action will be enforced punishable by law. You hereby agree that the Company shall be the owner of all Content created as a result of your use of the Platform or Services. To the extent that the law recognizes You as the owner of any right in any such data or information, You hereby agree that all such rights shall be assigned to the Company immediately upon creation except for your private data under the data privacy law applicable. To the extent such an assignment is not permitted under applicable law, You agree to provide a perpetual, assignable, exclusive, and royalty-free license to enjoy all rights in such Content owned by You. You agree to take all necessary actions as required by the Company to give effect to this clause. The trademarks, logos, and service marks displayed on the Platform (“Marks”) are the property of the Company or a third party. You are not permitted to use the Marks without the prior consent of the Company or the third party that may own the Marks.

8. Third Party Content and Services

8.1 The App may allow access to websites or other applications owned and / or operated by third parties. We are not responsible for the content from such sources, and do not endorse or approve the contents thereof.

8.2 You agree to use the App at your sole risk in this regard and we consequently are not responsible for and do not accept any liability in connection with any third party material that may be accessible via the App (regardless of whether or not we have permitted access to the material).

8.3 If you access such material you undertake not to infringe any intellectual property rights relating to it, whether by making reproductions, derivative works or otherwise.

9. Consent to Use of Technical Data

You agree that we may collect and use technical data and related information, including but not limited to technical information about your Device, system and application software, and peripherals, that is gathered periodically to facilitate the provision of software updates, product support and other services to you (if any) related to the App. We may use this information, as long as it is in a form that does not personally identify you, to improve our products or to provide services or technologies to you.

10. Geolocation Data

10.1 If your location settings are enabled on your Device, the App will, from time to time, use GPS technology (or similar technology) to tell us about your Device’s location, even if you are not directly interacting with the App.

10.2 We use this location information to improve the Service by using it to make referrals and advertisements more relevant and accurate for users, and pursuant to this, we may share your location data with other users or with our affiliates.

10.3 If you do not want us to use your location, you should turn off the location services for the App located in your Device’s settings.

11. Advertising and Newsletters

We may, from time to time, process Data in order to provide you with newsletters and/or advertise services to you. If you do not want to see the advertisements, you may close the advertisement window. Should you not wish to receive newsletters from us, please let us know by emailing reachus@XCalData.com, and we will remove your details from our mailing list.

12. Relationship with the Store

12.1 This clause only applies to you if the Store that you download the App from is operated by Apple Inc/Google Play

12.2 Both parties acknowledge that this EULA is entered into between the Parties them only, and that Apple Inc/Google Play is not a party to it. The Store is not responsible for the App or its content, and is not responsible for any support and maintenance of the App.

12.3 In the event of a failure of the App to conform to an applicable warranty, you may notify the Store, which may refund the App licence fee to you (if one was paid). To the maximum extent permitted by applicable law, the Store will have no other warranty obligation whatsoever with respect to the App, and any other claims, losses, liabilities, damages, costs or expenses attributable to any failure to conform to any warranty will be our sole responsibility (subject to the other provisions of this EULA).

12.4 Both parties acknowledge that we, and not the Store, are responsible for addressing any of your claims or any third party relating to the App or your possession and/or use of the App including, but not limited to, (i) product liability claims; (ii) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection or similar legislation.

xCalData will offer a “Trial Period” allowing user full access to all features of the App. The duration of the Trial Period will be subject to change by the Company and will be informed to the User when the Trial Period starts.

After the end of the Trial Period, User is expected to subscribe to the services by paying the subscription charges.

All subscription will be collected upfront for 1 year.

17. Subscription Policy

After the end of the Trial Period, User is expected to subscribe to the Services by paying the subscription charges.

18. User of Internet and Electronic Communications

You acknowledge and understand that

(a) we can only give you the benefits of accessing the Site and using the Services by conducting business through the Internet, and therefore we need you to consent to our giving you Communications (defined below) electronically, and

(b) this Section informs you of your rights when receiving Communications from us electronically.

For contractual purposes, you:

(i) consent to receive communications from us in an electronic form and

The Client is aware and acknowledges that trading over the internet involves many uncertain factors and complex hardware, software, systems, communication lines, peripherals, etc., which are susceptible to interruptions and dislocations; and the Online Trading Service of www.xcaldata.com may at any time be unavailable without further notice. Upon clicking on buy/sell on the order window, based on client's network speed, a network latency can be experienced, and any rapid clicks on the buy/sell button through the same or different windows can lead to multiple order placements. Clients take full responsibility for making sure the actions on the notifications are their own actions and are fully aware of their positions while taking action on the buy/sell button. www.xcaldata.com and broker(s) do not make any representation or warranty that the Online Trading Service of broker(s) or www.xcaldata.com will be available to the Client at all times without any interruption. The Client agrees that he shall not have any claim against the Exchange or broker(s) or www.xcaldata.com or GoldenNest technologies pvt ltd on account of any suspension, interruption, non-availability or malfunctioning of the Online Trading System or Service of broker(s) or the Exchange's service or systems for any reason whatsoever.

19. No Warranty

Save as expressly set out in this EULA and to the maximum extent permitted by law, we make no representations and give no warranties or guarantees of any nature whatsoever in respect of the App, which is provided on an “as is” and “reasonable effort” basis, and all warranties, whether statutory or which are implied or residual or at common law are hereby expressly excluded. Without limiting the foregoing, neither the Company nor any of the company’s provider makes any representation or warranty of any kind, express or implied as to the accuracy, reliability, or currency of any information or content provided through the Application

20. Limitation of Liability

We are not liable for any loss or damages of whatsoever nature and howsoever arising (including consequential, indirect, aggravated, special or incidental loss or damages which will include but will not be limited to loss of property, data, profit, business, goodwill, revenue or anticipated savings) or any costs (including legal costs on the scale as between attorney and own client and any additional legal costs), claims or demands of whatsoever nature and howsoever arising, whether out of breach of express or implied warranty, breach of contract, misrepresentation, negligence, strict or vicarious liability, in delict or otherwise, and whether either party anticipates the damage or not, and whether arising from or relating to this EULA, or otherwise.

21. Indemnification

You agree to indemnify, defend, and hold GoldenNest Technologies Pvt. Ltd., the owner of www.xcaldata.com , and its subsidiaries, affiliates, officers, directors, agents, co-branders, sponsors, distributors, or other partners, employees, and representatives harmless from and against any and all claims, demands, actions, causes of action, damages, losses, costs or expenses (including reasonable attorneys' fees and disbursements) which arise or relate, directly or indirectly, out of, from or to (i) your breach of this Agreement or violation of any applicable law or regulation, (ii) any allegation that any materials that you submit to GoldenNest Technologies Pvt. Ltd. infringe, misappropriate, or otherwise violate the copyright, trade secret, trademark or other intellectual property rights, or any other rights of a third party, or (iii) access or use of the Site and/or the Services by you or anyone using your GoldenNest Technologies Pvt. Ltd. account. This Section shall survive in the event this Agreement is terminated for any reason.

22. Interpretation & General

22.1 Whole Agreement. This EULA is the whole of the agreement between the parties, and no document or statement not mentioned above will form part of it. Only a written variation, waiver or cancellation agreed to by both parties will be of any effect.

22.2 Applicable Law & Jurisdiction. The law in India will apply to this EULA, its interpretation and any matter or litigation relating to or arising from it, and the parties consent to the jurisdiction of the courts of Trichy in this regard.

22.3 Survival.For the avoidance of doubt, any provision of this EULA that anticipates any right or duty extending beyond the termination or expiry of this EULA will survive the termination or expiry of this EULA and continue in full force and effect

22.4 No Indulgence. If one party chooses not to enforce any part of this EULA, that does not mean that the party cannot enforce that part at a later time. If any part of the EULA is found to be unenforceable, the rest will still be enforce able.

22.5 Reading Down.If a provision of this EULA is reasonably capable of an interpretation which would make that provision valid and enforceable and an alternative interpretation that would make it void, illegal, invalid or otherwise unenforceable, then that provision shall be interpreted, so far as is possible, to be limited and read down to the extent necessary to make it valid and enforceable.

22.6 Severance. In the event that any part of this EULA is found to be partially or fully unenforceable because it does not comply with any law, or for any other reason, this will not affect the application or enforceability of the remainder of this EULA.

The Agreement constitutes the entire agreement between You and the Company regarding your use of the Application and supersedes all prior and contemporaneous written or oral agreements between You and the Company.

You may be subject to additional terms and conditions that apply when You use or purchase other Company’s services, which the Company will provide to You at the time of such use or purchase.

Any use of third-party services or software on xCalData to avail additional functionality, may cause your xCalData platform to malfunction, alter expected outcomes and cause problems. As per our terms of use, we strongly suggest avoiding the usage of any third-party software or plugins along with www.xcaldata.com platform (website and mobile applications).

ANY PERMUTATION OR COMBINATION OF THE OCCURRENCE OF THE POTENTIAL EVENTS THAT DEFINE THE RISKS DESCRIBED IN THIS DISCLOSURE STATEMENTS CAN LEAD TO A TOTAL OR PARTIAL LOSS OF OPERABILITY, RESPONSIVENESS, FUNCTIONALITY, AND FEATURES THAT COULD MATERIALLY AND ADVERSELY AFFECT YOUR USE OF www.xcaldata.com OR ANY PLATFORM OR DOMAIN SERVED BY US.

Risks of Using Internet-based Technology - Generally

The Internet-related technological risks arising from using GoldenNest Technologies Pvt. Ltd. (www.xcaldata.com)’s Site and Services to write, test, analyze, and run scans and related trading strategies fall into three categories: (a) risks related to GoldenNest Technologies Pvt. Ltd. (www.xcaldata.com)’s software; (b) risks related to GoldenNest Technologies Pvt. Ltd. (www.xCalData.com)’s computing and communications infrastructure; and (c) risks related to your software, hardware, and Internet connectivity. It is your obligation to thoroughly and appropriately test any scan and/or strategy and verify the results before taking any position.

a. GoldenNest Technologies Pvt. Ltd. (www.xcaldata.com)’s software/code might fail to work properly.

i. All software is subject to inadvertent programming errors and bugs embedded in the code comprising that software. Any of these errors and bugs can cause the software in which they are located to fail or not work properly. The applications or software used to operate GoldenNest Technologies Pvt. Ltd. (www.xcaldata.com)’s Site and Services are subject to this risk. Despite testing and ongoing monitoring and maintenance, inadvertent errors and bugs may still cause a failure in GoldenNest Technologies Pvt. Ltd. (www.xcaldata.com)’s applications software.

ii. We may update or revise our applications software in ways that cause some of its functionality or features to be lost or diminished. Any such loss or diminution could make GoldenNest Technologies Pvt. Ltd. (www.xcaldata.com) less valuable to you, cause certain functions and features in your scan to fail, and require you to change your scan.

b. GoldenNest Technologies Pvt. Ltd. (www.xcaldata.com)’s computing and communications infrastructure may fail.

The operation of GoldenNest Technologies Pvt. Ltd. (www.xcaldata.com)’s Site and Services depend heavily on our infrastructure of computing and communications systems. The operation of this infrastructure is subject to several risks:

i. Any or all of the systems comprising our infrastructure could entirely or partially fail, function erratically, or function very slowly (thereby leading to latency, i.e., delays in receipt of and response to user requests).

ii. We may inadvertently cause a systems failure during planned or unplanned system maintenance.

iii. We may undertake software upgrades, either planned or unplanned, that can take longer to implement or that can cause your computer system or Internet connectivity to fail.

iv. We may change or remove functions and features whose change or removal causes your system to fail, function erratically, or function very slowly.

c. Your computer system, mobile app, and your Internet connectivity may fail.

Any of the components of your computer system and/or your Internet connectivity could fail entirely, function erratically, or function very slowly. You may incur losses (or fail to gain profits) while trading securities. You should discuss the risks of trading with the broker-dealer where you maintain an account or other investment professional. i. Your broker may experience failures in its infrastructure, fail to execute your orders in a correct or timely fashion, or reject your orders.

www.xcaldata.com infrastructure on which you are placing manual orders might fail. In addition, even if www.xcaldata.com infrastructure or your broker's infrastructure and API are working correctly, the orders may get rejected in error or by design, incorrectly execute orders, or induce errors through unexpected behavior (such as returning messages out of sequence, incorrectly acknowledging orders, or posting incorrect execution reports). If at all, any losses arise from these risks, GoldenNest Technologies Pvt. Ltd. (www.xcaldata.com) bears no responsibility for this.

ii. The system you use for generating trading orders, communicating those orders to your broker, and receiving queries and trading results from your broker may fail or not function in a correct or timely manner.

Latency (i.e., delays) within and between your system, as well as those of your broker and the market in which you seek to affect trades, might cause orders, corrections, and cancels to be placed or not placed in ways that are not desired. You may receive incorrect information, or be unable to get information, about your orders, your positions, or market conditions. Incorrect actions may be taken, or correct actions may not be taken, because of inaccurate or missing information.

iii. Malicious and criminal activities might cause your scan to fail or your brokerage account to be compromised

Please be aware that the scan baskets are not updated in real-time but daily at end of the day. Scan may or may not contain historical contracts (Expired) or instruments based on historical information.

Scans Alerts

Once the scan is live and an alert is generated based on the conditions in the scan, our systems attempt to deliver the alert to the user over the internet. By using this service, the user acknowledges they understand that the alerts' delivery is dependent on many factors such as the internet connection of the user, location, time of the day, server load, data availability etc.

We recommend users to be logged in to xCalData app, keep it open in their device and maintain a fast uninterrupted internet connection to their devices to see the best alerts delivery.
